Membership in the SPEEDCO REWARDS program (the “Program”) will be granted by Speedco, Inc., an Indiana corporation (“Speedco”), through enrollment by a qualifying person as a SPEEDCO REWARDS member (referred to herein as “you,” or as “Member” or “Members”).   Use of any Program card issued by Speedco, or the acceptance of any benefits of the Program, constitutes acceptance of the following terms and conditions (this "Agreement") by each Member:

1. GENERAL TERMS AND CONDITIONS.

a. You may enroll for membership in the Program at any Speedco location.  At the time of enrollment, you must provide your name, address and a valid email address.  Additional information may be requested at the time of enrollment.  No purchase is necessary to become a Member. Member must be a legal resident of the United States, Canada, Mexico or Puerto Rico and be of legal driving age to participate in the Program.

b.  Upon enrollment in the Program, Speedco will issue to a Member a membership card.  Speedco reserves the right to issue different styles of cards to different Members, in Speedco’s sole discretion.  Regardless of the style of the membership card, each card is subject to the terms and conditions of the Program.

c. Program membership, and any Points accrued by a Member, are nontransferable.  Only individual persons are eligible for membership in the Program, and the Program may only be used by an individual Member for a Member's own personal benefit.  Corporations and other entities may not be enrolled as Members.  Member benefits cannot be combined with benefits accrued by another Member under any circumstances. Speedco may request proper identification with regard to any Program transactions, including but not limited to Point accrual and Certificate redemption. Member benefits will not be applied retroactively to any prior purchases.

d. Speedco is not responsible for lost or stolen membership cards; however, Speedco may replace lost or stolen cards upon request of a Member, and proper verification by the Member of such Member’s participation in the Program.

e. Member agrees that the Program and any Member benefits related thereto do not create any property rights in favor of Member.

f. Member shall be responsible for maintaining accurate and updated personal information with Speedco’s customer service department. Members may update their personal information online at www.speedco.com/rewards or by calling 866-SPEEDCO. Speedco is not responsible for rewards that are not received as a result of Member's failure to update Member's personal information.

2. MEMBER BENEFITS. The Program provides Members with the following benefits:

a. For every dollar ($1.00) spent on Qualifying Purchases, as defined in Section 3.a., below, during any one calendar year by a Member, ten (10) Speedco Reward Points (“Points”) will be issued into your "Speedco Rewards Account".  Once you have earned ten-thousand (10,000) Points, a Speedco Rewards Certificate in the amount of forty dollars ($40.00) will automatically be generated on the bottom of the qualifying invoice.  The Speedco Rewards Certificate may be redeemed at any Speedco location for eligible purchases, as described in Section 4, below, beginning 7-days from the date of issuance until sixty (60) days from the date of issuance. There is no limit to the amount of Speedco Rewards Certificates that you can earn in a calendar year. Any points in excess of ten thousand (10,000) earned will roll over and you will continue to earn Points on Qualifying Purchases.  Any Speedco Rewards Account that earns zero points in any twelve (12) month period will be deemed inactive, and will be closed and all Points forfeited.

b. A Member may also receive special offers in store, by email or other means, including coupons and discounts that are made available only to Program Members.

3. POINTS ACCRUAL.

a. The accrual of Points under the Program will be calculated based on Member's Qualifying Purchases, in accordance with the formula set forth in Section 2.a., above. For purposes of the Program, “Qualifying Purchases” are purchases of products or services made at any Speedco location after discounts, coupons, and casing credits and before sales tax and tire recycling and scrap fees are added. Points cannot be earned on National Account tire purchases or methods of payment, as determined by Speedco in its sole discretion.  Qualifying Purchases will be rounded up to the next whole dollar for calculation of Points.

b. In the event of the return of any Qualifying Purchases, or in the event of any other credit or set off with respect thereto, any Points attributable to such return or setoff will be deducted from Member's Speedco Rewards Account.

4. REDEMPTION OF SPEEDCO REWARDS CERTIFICATES.  A Speedco Rewards Certificate may be redeemed at any Speedco location for any available products or services by the person to whom such Certificate was issued.  The dollar amount of the invoice related to such products or services must be greater than the combined face value of any Certificate(s) to be redeemed.  Certificates shall not:  (a) be transferred under any circumstances; (b) be combined with any other offer or discounts unless otherwise stated; (c) be redeemed for gift cards or certificates; (d) used for charitable contributions; (e) have any cash value; and (f) be applicable to prior purchases. Speedco Reward Certificates that are not redeemed by sixty (60) days from the date of validation will be forfeited.

5. PARTICIPATING STORES. The Program cards are accepted at all Speedco locations in the United States

6. MEMBER PRIVACY. By becoming a Member of the Program, you agree to receive advertising, marketing materials, and other communications from Speedco and its affiliates. Your personal information will be held in accordance with the Speedco Privacy Policy, which can be found at www.speedco.com/privacy.

7. MODIFICATION AND TERMINATION. The sponsor of the Program is Speedco, Inc., (defined above as "Speedco"). Changes to the Program terms and conditions will be posted to www.speedco.com/rewards at least fifteen (15) days prior to the effective date of such change. Continued use of Member's membership card constitutes acceptance of any amendment to the Program. The most current terms and conditions of the Program can be found at www.speedco.com/rewards. Speedco may terminate the Program at any time.  Upon termination, Speedco will notify each Member via email, based on the latest information then available to Speedco.  Members without email will be notified the next time their card is presented at a Participating Store. Upon termination of the Program, Member shall forfeit all unredeemed rewards earned as of the termination date. Member may choose to opt out of the Program at any time; however, this will result in the forfeiture of accrued Points.

8. GOVERNING LAW AND ARBITRATION. This Agreement shall be governed by and construed under the laws of the State of Indiana, without reference to conflict-of-laws considerations. Speedco and Member agree that any dispute, claim, or controversy arising from or relating to this Agreement or Member's membership in the Program shall be resolved by binding arbitration conducted in Marion County, Indiana. Speedco and Member acknowledge and agree that each has chosen arbitration rather than litigation to resolve any such dispute, claim, or controversy. Speedco and Member understand that a judgment on any arbitral award may be entered in any court having jurisdiction. No arbitration under this Agreement shall be consolidated with any other arbitration.

9. NO WARRANTY. SPEEDCO, INC., ITS PARENT AND AFFILIATE ENTITIES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS MAKE NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE MEMBERSHIP OR ANY PRODUCTS OR SERVICES RELATED THERETO.

10. RELEASE OF LIABILITY. MEMBER HEREBY RELEASES SPEEDCO, INC., ITS PARENT AND AFFILIATE ENTITIES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL LIABILITY RELATING TO MEMBER'S SPEEDCO REWARDS MEMBERSHIP OR THIS AGREEMENT.
